Terms & Conditions of Cloud Credits

• These Terms and Conditions, referred to as the "Terms," regulate your involvement in the Alibaba Cloud Startup Catalyst Program, known as the "Program." They constitute an agreement between Alibaba Cloud, also referred to as "we," "us," or "our," and you or the entity you represent, referred to as "you" or "your." Your participation in the Program is subject to these Terms. Any capitalized terms used in these Terms, but not defined, will have the meanings specified in the Agreement. By agreeing to these Terms, you confirm that you have the authority to enter into this agreement.
• 1. Program
• 1.1 Campaign Period: The promotion begins on October 31st, 2023 and ends on March 31st, 2025 (the "Campaign Period")
• 1.2 Eligible Member: To become a member of the Program, you must possess a valid Alibaba Cloud account and complete the registration process outlined on the Site.
• 1.3 Promotional Credits: As a Program participant, you have the opportunity to receive promotional credits known as "Cloud Credits." These credits can be in the form of either (a) promotional credits configured for selected services excluding domain purchase, CDN, Alibaba Cloud Academy, Alibaba Cloud Marketplace and prepaid products / services, or (b) promotional credits specifically designed for Alibaba Cloud Business Support. To qualify for Cloud Credits, you may need to complete an application, which Alibaba Cloud reserves the right to accept or reject at our discretion. Please remember that Cloud Credits are intended for your use only and cannot be transferred to any end customers.
• 1.4 Program Specific Rules: There are 3 tiers for the program namely Launcher Tier USD$1,000 (valid for 3 months from date of redemption), Gold Tier USD$20,000 (valid for 6 months from date of redemption) and Diamond Tier USD$100,000 (valid for 1 year from date of redemption). During the application, users are required to submit fields stated on the Site, including a Business Proposal stating their plans for future cloud credit usage, monthly estimated cloud credit usage, plans for growth etc. Alibaba Cloud shall review each application proposal and can under normal circumstances, provide feedback or respond to the proposal within seven (7) business days of its submission. Alibaba Cloud is entitled to provide feedback and require the users to incorporate these feedback before resubmitting the proposal for a final review before the selected users become Eligible Member. Once successful, the Eligible Member can receive the cloud credits via their Alibaba Cloud account. Every Eligible Member can only be eligible to redeem up to a maximum of USD$120,000 in a lifetime (After the redeem the Launcher Tier of USD$1,000 and a Gold Tier of USD$20,000, they should have already received a total of USD$21,000. And finally when they redeem the Diamond Tier of USD$100,000, it will be a top up of an additional $99,000 value, which results in a total of USD$120,000 being redeemed.). Alibaba Cloud can choose to forfeit the additional Cloud Credits redeemed (in addition to USD$120,000) should the Eligible Member redeem more than USD$120,000 with multiple Alibaba Cloud accounts.
• 1.5 Third-Party Offers: As part of your participation in the Program, you may have access to third-party offers, such as discounts on software products or other Third-Party Content. The third-party offering or selling Third-Party Content will be the seller of record for such Third-Party Content and may specify separate terms and conditions and privacy policies for the use of its Third-Party Content. Alibaba Cloud is not a party to the transaction between you and any third-party who makes Third-Party Content available to you, and if there are separate terms for the Third-Party Content, Alibaba Cloud will not be a party to those terms. ALIBABA CLOUD IS NOT RESPONSIBLE FOR THIRD-PARTY CONTENT AND HAS NO CONTROL OVER AND DOES NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ITEMS ADVERTISED, THE TRUTH OR ACCURACY OF THIRD-PARTY CONTENT OR LISTINGS, OR THE ABILITY OF SELLERS TO OFFER THE THIRD-PARTY CONTENT.
• 1.6 Program Changes. We may change or discontinue the Program or any aspect of it, including these Terms (as set forth in Section 3), at any time, including changing or discontinuing any benefits offered under the Program. Unless we state otherwise, any changes to the Program will become effective at the time we update the Site with the change.
• 1.7 Program Termination or Suspension. We reserve the right to suspend or terminate your access to the Program, including to any portion of the Program, at any time, including if you are in breach of these Terms or if we determine your use or access: (a) poses a security risk, (b) could subject us, our affiliates, or any third-party to liability, or (c) could be fraudulent. If your participation in the Program is terminated for any reason: (i) all licenses granted by you or us arising from your participation in the Program will terminate, (ii) you will immediately cease use of all Program benefits, and (iii) you will no longer identify yourself or hold yourself out as a Program participant.
• 1.8 Based on the eligibility criteria stipulated and decided internally, we will then decide the amount of Cloud Credits that can be distributed to the startup.
• 2. Publicity and Marketing We may list your name, website, and other general contact information in a Program directory or in other similar resources or on our website. You hereby grant us a nonexclusive, worldwide, royalty-free license to use your name, website, general contact information, and any trademark, service mark, trade name, other proprietary logo or insignia, URL, domain name, or other source or business identifier that you provide to us and any other content that you provide to us in connection with the Program (collectively, "Your Materials") in connection with a Program directory, customer lists, commercial presentations, flyers, brochures, newsletters, and similar online or hard-copy resources. We may make reasonable changes or alterations to Your Materials. Neither party, nor any of their respective affiliates, is an agent of the other for any purpose or has the authority to bind the other.
• 3. Modification We may modify these Terms at any time by posting a revised version on the Site. The modified Terms will become effective upon posting. By continuing your participation in the Program after the effective date of any modifications to these Terms, you agree to be bound by the modified Terms. It is your responsibility to check the Site regularly for modifications to these Terms. In the event of any dispute regarding these Terms, credit redemption, and all matters relating to the Program, we reserve the right to make the final decision; no complaints shall be entertained and no correspondence or discussions shall be undertaken. You guarantee that the Content and your participation in the Program do not violate any rights of third parties and are the object of independent creativity. The business proposal submitted shall not contain any offensive language, harmful or inappropriate content, rude words or other expressions of an obscene nature (as determined in our sole opinion).
