Service Terms for the Open Beta Test of Alibaba Cloud’s Transactions and Bills Management OpenAPI
Welcome to Alibaba Cloud Transactions and Bills Management OpenAPI (BSS OpenAPI or BOA for short). Before you subscribe to the BOA service, please read the relevant specifications, rules, and use procedures that Alibaba Cloud publishes on www.aliyun.com and the entire content of these Service Terms carefully. If you don’t agree to any of the above-mentioned content or you cannot fully understand Alibaba Cloud’s explanations, do not perform any further actions. If you have subscribed to or have used the BOA service, Alibaba Cloud will consider that you have fully understood and agreed to the specifications, rules, procedures, and the entire content of these Service Terms. Under such circumstances, you shall not claim nullity or require revocation of these Service Terms for reasons that you have not read or understood the above-mentioned content or you have not obtained Alibaba Cloud’s answers for your inquiries.
1. Contracting subjects
These Service Terms are entered into by and between Alibaba Cloud Computing Co., Ltd. (hereinafter referred to as “Alibaba Cloud”) and all users (hereinafter referred to as “you”).
2. Conclusion and effectiveness of the agreement
By clicking OK on the web page or otherwise choosing to accept these Service Terms through other methods, including, but not limited to using the BOA service without clicking OK, you indicate that you have agreed to accept the entire content of these Service Terms. These Service Terms take effect from the time you confirm your acceptance or from the time of your use (whichever comes first).
3. Use of the BOA service
3.1. Before using the BOA service, you shall carefully read the relevant service descriptions, technical specifications, use procedures, etc. that Alibaba Cloud has posted on the official website, and understand the relevant content and possible consequences. During the use, you shall follow relevant operating instructions and act cautiously to avoid any risks.
3.2. BOA, as the basic management service product of Alibaba Cloud, is free of charge. However, if you use other paid services of Alibaba Cloud, you shall pay the applicable service fee to Alibaba Cloud according to corresponding service charge.
3.3. You understand and acknowledge that when you are using the BOA service:
3.3.1. You shall not endanger or attempt to disrupt network security (including, but not limited to phishing, hacking, Internet fraud, involved in or suspected of spreading viruses, trojans, or malicious code on a website or in a certain space, and using virtual servers to perform suspected attacks to other websites and servers such as scanning, sniffing, ARP spoofing, and DDoS).
3.3.2. You shall not make any changes to or attempt to change the system configuration that Alibaba Cloud provides or perform any acts that endanger system security and network security.
3.3.3. You shall not modify, translate, adapt, rent, sublicense, distribute, or transfer software or services that Alibaba Cloud provides on the information network; or reverse engineer, decompile, or otherwise attempt to discover the source code of software that Alibaba Cloud provides.
3.3.4. Without the prior written consent of Alibaba Cloud, you shall not copy, distribute, transfer, license, or provide the BOA service that Alibaba Cloud provides for others to use.
3.3.5. You shall not use the BOA service in any manner or for any purpose that would violate national and local laws and regulations, industry practices, and social ethics, or that would or might influence or endanger the interests of Alibaba Cloud or Alibaba Group.
4. Limitation and exemption of liability
4.1. The BOA service has been thoroughly tested, but it is not guaranteed that the BOA service can be fully compatible with all hardware and software systems or provide flawless services. You therefore agree that, during the period when Alibaba Cloud provides the BOA service, Alibaba Cloud does not guarantee any service availability or reliability and shall not be held liable for the consequences incurred by your use of the BOA service. However, Alibaba Cloud is willing to work with you to solve problems and promises to continuously improve our service quality and level. If any problems arise, you may call Alibaba Cloud for technical support. If the problem cannot be solved, you shall stop using the BOA service.
5. Change and termination
5.1. You understand and acknowledge that Alibaba Cloud may, at our sole discretion, modify, cancel, or enhance one or multiple function(s) of the BOA service without prior notice. Alibaba Cloud reserves the right to adjust the name, visual interface design, etc. of the BOA service, or ask you to use the latest updated version without prior notice.
5.2. If you have violated any of these Service Terms, or if Alibaba Cloud, at our sole discretion, believes that your use of the BOA service does not conform to Alibaba Cloud’s requirements, Alibaba Cloud is entitled to suspend or terminate your use of the BOA service at any time without notice. At the same time, if you have caused any loss to Alibaba Cloud, Alibaba Cloud is entitled to ask you to compensate for the loss.
5.3. If you encounter computer viruses, network intrusions, attacks (including, but by no means limited to DDoS), or other circumstances or behaviors that endanger your network security (hereinafter collectively referred to as “such behaviors”), and such behaviors have done harm to Alibaba Cloud or have affected Alibaba Cloud’s communication with the Internet, specific networks, servers, or internal networks, Alibaba Cloud reserves the right to suspend or terminate your use of the BOA service without notifying you and without assuming any obligation or responsibility.
5.4. Alibaba Cloud reserves the right to terminate these Service Terms by posting an announcement on the website or by issuing a notice on the appropriate page of the website 10 working days in advance without assuming any obligation or responsibility.
5.5. After the service is terminated for whatever reason, Alibaba Cloud will no longer save your data in the BOA service.
6. Confidentiality
Both you and Alibaba Cloud shall keep confidential the other party’s confidential information. The party accepting the confidential information shall not disclose it unless it is required by government agencies according to laws or the above-mentioned confidential information is already available in the public domain.
7. Miscellaneous
7.1. You understand and agree that Alibaba Cloud currently provides you with free BOA service. However, Alibaba Cloud does not rule out the possibility of charging fees in the future, and then Alibaba Cloud will publish the charging policy and specifications by posting an announcement or sending an in-station notice on the appropriate page of the website 10 calendar days in advance. If you continue to use the BOA service, you shall pay according to the valid charging policy and specifications and abide by the valid service terms that Alibaba Cloud announces at that time.
7.2. Alibaba Cloud reserves the right to modify these Service Terms at any time in accordance with changes in relevant laws and regulations, and adjustments to the company’s operating conditions and business strategies. The modified Service Terms will be posted on Alibaba Cloud’s website (www.aliyun.com). If you don’t agree to the modified content, you shall stop using the BOA service. By continuing to use the BOA service, you indicate that you have accepted the changes to these Service Terms.
7.3. If any provision of these Service Terms is wholly or partially invalid or unenforceable for any reason, or is in violation of any applicable laws, the provision shall be deemed to be deleted, but the remaining provisions of these Service Terms shall remain in effect and continue to be binding.
7.4. These Service Terms are governed by the laws of the People’s Republic of China. If any dispute arises from the execution of these Service Terms, both parties shall negotiate in a prompt manner to resolve the dispute. If the negotiation fails, either party is entitled to file a lawsuit to Hangzhou West Lake District People’s Court.
