Service Agreement

To use Alibaba Cloud services, sign this Alibaba Cloud Product and Service Agreement (hereinafter referred to as “this Agreement”) with Alibaba Cloud Computing Co., Ltd. (hereinafter referred to as “Alibaba Cloud”).The index keywords listed at the beginning of each clause of this Agreement are intended to help you understand the purpose of the clause and do not affect or limit the meaning or interpretation of the clause. To protect your own rights and interests, read this Agreement carefully.[Careful Reading] You shall read this Agreement carefully before agreeing to this Agreement. Be sure to read and fully understand the contents of each clause, especially the clause on exemption or limitation of liability and the clause regarding governing laws and dispute resolution, which will be underlined in bold. If you have any questions about this Agreement, you can consult customer service personnel and related business departments.[Signing Action] When you read and click to agree to this Agreement or otherwise choose to accept this Agreement, it means that you have fully read, understood, and accepted all the contents of this Agreement and reached a consensus with Alibaba Cloud. This Agreement takes effect from the date on which you click the Confirm button on the web page or otherwise choose to accept this Agreement. If you do not agree to this Agreement or any term hereof in reading this Agreement, do not sign this Agreement.

General Service Terms

1. Contract subjects and scope of agreement

This Agreement is the service agreement between you and Alibaba Cloud with respect to your use of Alibaba Cloud services.

2. Service content

“Service” referred to herein means services that are displayed to you through Alibaba Cloud’s website www.aliyun.com and client (hereinafter separately or collectively referred to as “Alibaba Cloud website”) and for which you apply for trial use and which Alibaba Cloud agrees to provide to you.

3. Service charge

3.1. The service charge will be listed and specified on your order page. You can choose the specific type of service at your own discretion and pay the price listed thereon. You may select the prepaid service or the postpaid service.

3.2. Prepaid:

3.2.1. Alibaba Cloud will begin to provide services only after you pay the service charge. If you fail to pay the service charge immediately after placing an order, the order will be reserved for seven days. If you still fail to pay the service charge upon expiration of said period or Alibaba Cloud services are sold out within said period, the order will become invalid, and the consensus reached between you and Alibaba Cloud on the service will also become invalid accordingly.

3.2.2. If both Parties are willing to continue to cooperate upon expiration of the service period, you shall pay the renewal fee within seven days prior to the expiration of the service period, so that the service can be continued.

3.3. Postpaid: You may use the postpaid service first. For specific deduction rules, see the billing model and standards in force at that time as displayed on and published through the pages of Alibaba Cloud Website for the postpaid service.

3.4. Alibaba Cloud reserves the right to refuse to provide you with services and/or technical support or to terminate services and/or technical support until you have paid the service charge in full as agreed. Meanwhile, Alibaba Cloud reserves the right to require you to pay five ten-thousandths (0.05%) of your arrears as the liquidated damages and to pursue your other legal liabilities.

3.5. You fully understand that all the gifted service items or preferential activities in Alibaba Cloud’s price system are the one-time special preference of Alibaba Cloud beyond the normal service price, and the gifted service items or the preferential activities cannot be discounted or used to offset the service price.

4. Your rights and obligations

4.1. After subscribing to the service, you are entitled to require Alibaba Cloud to provide services to you in accordance with the terms of this Agreement as well as a service description and technical specifications displayed on the relevant pages of Alibaba Cloud Website.

4.2 After subscribing to Alibaba Cloud services, you can enjoy free after-sales service. In addition, Alibaba Cloud also provides other charged technical services.

4.3. You shall pay the corresponding service charge in accordance with the tips on the pages of Alibaba Cloud Website and the provisions of this Agreement.

4.4. Your use of Alibaba Cloud services shall comply with Alibaba Cloud’s Service Use Rules and this Agreement.

4.5. You are responsible for the completeness and confidentiality of data stored by you on Alibaba Cloud’s cloud platform as well as passwords and passphrases that you use to access to and manage various products and services on Alibaba Cloud’s cloud platform. You are liable for the losses and consequences caused by the loss or leakage of the above data, passphrases, and passwords due to your improper maintenance or improper confidentiality.

4.6. You must keep the access log records of your own website in accordance with applicable laws and regulations such as the Cyber Security Law and the Internet Information Service Administration Measures, including the content of published information and its release time, Internet address (IP), domain name, and provide assistance when relevant State organs inquire such records according to law. You will assume the corresponding legal liability arising from the failure to retain relevant records as required.

4.7. You are responsible for the backup of your data for the purpose of data security. Alibaba Cloud products or services may configure the features or tools for data backup for you, but you are responsible for relevant operations to complete the backup.

4.8. You are responsible for the source and content of your user business data. Alibaba Cloud will prompt you to carefully judge the legality of data source and content. You will assume corresponding consequences and liabilities resulting from the content of your user business data in violation of applicable laws and regulations, departmental regulations, or national policies.

4.9. You understand and agree that the state secrets of the People’s Republic of China are protected by applicable laws and that you are obligated to keep the state secrets of the People’s Republic of China. Your use of Alibaba Cloud services shall comply with the requirements of the relevant laws and regulations about confidentiality and shall not endanger the security of state secrets of the People’s Republic of China.

4.10. You shall also carefully read and observe the corresponding service descriptions, technical specifications, use process, operating documents, and other content (hereinafter referred to as “Operational Guidelines”) displayed on the pages of Alibaba Cloud Website, and carry out relevant operations in accordance with relevant operational guidelines. You will bear the consequences of violation of relevant operational guidelines. At the same time, Alibaba Cloud solemnly reminds you to control risks and carefully conduct relevant operations.

5. Alibaba Cloud’s rights and obligations

5.1. Alibaba Cloud shall provide services as agreed.

5.2. Within the service period, Alibaba Cloud will provide you with the following after-sales services:

5.2.1. Alibaba Cloud will provide 7×24 telephone and online work order consultation services to answer your questions during your use.

5.2.2. Alibaba Cloud will provide you with failure support services. You should report a failure through the online work order. Alibaba Cloud will provide support for failures caused by machine operation in a timely manner, except for failures caused by reasons of human error and/or force majeure, and other matters beyond the scope of Alibaba Cloud’s control.

5.3. You may also obtain other charged after-sales services through Alibaba Cloud, which are detailed in the charged after-sales service content on the relevant pages of Alibaba Cloud Website.

5.4. Alibaba Cloud is only responsible for the underlying part of the operating system and the operation and maintenance of the software that Alibaba Cloud provides, that is, the service-related technical architecture and the operating system provided by Alibaba Cloud. You are responsible for the upper part of the operating system (for example, the applications you install in your system). In addition, your own upgrade of your operating system may cause downtime and other adverse effects. You shall control risks and carefully conduct relevant operations.

5.5. You understand that Alibaba Cloud cannot guarantee that the services it provides are not defective (for example, Alibaba Cloud’s security products do not guarantee the absolute security of your hardware or software). However, Alibaba Cloud is committed to continuously improve service quality and service levels. You therefore agree that even if the service that Alibaba Cloud provides is defective, the above-mentioned defects are unavoidable based on the industry’s technical level at that time, and Alibaba Cloud is not deemed to have defaulted. You agree to work with Alibaba Cloud to resolve such flaws.

5.6. Some services of Alibaba Cloud may have an account authorization management feature; that is, you may authorize all or part of your operation of your service to one or more authorized accounts that you designate. In this case, all operations conducted under any authorized account shall be deemed as acts committed by you through your own account, and you will assume corresponding responsibilities and service charges arising therefrom.

5.7. You understand and acknowledge that Alibaba Cloud will provide you with security protection based on certain services (for example, “Alibaba Cloud Security Server Guard”) and related management and monitoring of related features and services (for example, “CloudMonitor”). Even though Alibaba Cloud has thoroughly tested such services, it cannot guarantee that they will be fully compatible with all hardware and software systems, nor will Alibaba Cloud guarantee the complete accuracy of its software and services. In case of incompatibility or software errors, you shall immediately turn off or stop using relevant features, and contact Alibaba Cloud in a timely manner to obtain technical support.

6. User service data

6.1. Alibaba Cloud understands and acknowledges that the data you process, store, upload, download, distribute, and otherwise process through the services that Alibaba Cloud provides is your user service data, and you have full ownership of your user service data.

6.2. With respect to user business data, Alibaba Cloud does not perform any unauthorized use and disclosure other than the implementation of your service requirements, except for the following circumstances:

6.2.1. When the relevant State organs inquire or access user business data according to law, Alibaba Cloud is obligated to provide assistance in accordance with the requirements of applicable laws, regulations or policies and to disclose it to a third party or administrative, judicial, and other organs.

6.2.2. You and Alibaba Cloud have otherwise reached a separate agreement.

6.3. You may delete, change, or otherwise operate your user business data on your own. If you release the service or delete the data, Alibaba Cloud will delete your data and will not retain the data according to your instructions. You shall exercise caution when deleting, changing, and performing other data operations.

6.4. When the service period expires, the service is terminated in advance (including early termination after the Parties have so agreed, early termination due to other reasons, etc.) or when you are in arrears, except as otherwise expressly required by applicable laws and regulations, required by a competent authority or agreed to by the Parties, Alibaba Cloud will only continue to store your user business data (if any) within a certain buffer period (subject to the time limit stated in the special terms, product documentation, and service descriptions applicable to the service that you ordered). Upon expiration of the buffer period, Alibaba Cloud will delete all user business data, including all cached or backup copies, and will not retain any of your user business data.

6.5. Once the user business data is deleted, it cannot be recovered; you shall assume the consequences and responsibilities resulting from the deletion of such data. You understand and agree that Alibaba Cloud has no obligation to continue to retain, export, or return the user business data.

6.6. According to your agreement with Alibaba Cloud, Alibaba Cloud will store user business data in the data center that you select. Alibaba Cloud will honor its security commitment to users to protect the data that users stored in Alibaba Cloud’s data center according to applicable laws.

  1. Intellectual property rights• 7.1. The intellectual property rights in any information, technology or technical support, software, and services provided by either Party to the other Party hereunder are owned by the providing party or its legal rights owner. Unless otherwise expressly agreed to by the providing party or legal rights owner, the other Party is not entitled to copy, disseminate, transfer, license, or let others use the above-mentioned intellectual property rights; otherwise, the other Party shall be liable accordingly.• 7.2. You shall ensure that the materials submitted to Alibaba Cloud, the use of Alibaba Cloud services and the results arising from the use of Alibaba Cloud services do not infringe upon the legitimate rights and interests of any third party. Alibaba Cloud shall ensure that the services provided to you do not infringe upon the legitimate rights and interests of any third party.• 7.3. If a third-party institution or individual challenges or lodges a complaint against the ownership of the intellectual property rights of the relevant materials involved in your use of Alibaba Cloud services, or challenges or lodges a complaint against the ownership of the intellectual property rights in the Alibaba Cloud service that you are using, both you and Alibaba Cloud are responsible for issuing relevant certificates concerning the intellectual property rights and cooperating with each other to handle the relevant complaint. In the event of a claim, litigation, or possible lawsuit against the defaulting party, the defaulting party shall be responsible for settling such claim, be liable for relevant costs and losses, and waive the other Party’s liability.

    8. Confidentiality

    8.1. “Confidential information” referred to herein means trade secrets (including financial secrets), technical secrets, know-how of business operation, and other information and materials that shall be kept confidential (including product information, product plans, prices, financial and marketing plans, business strategies, customer information, customer data, R&D, software, hardware, APIs, technical descriptions, designs, special formulas, and special algorithms) obtained or known by one party (hereinafter referred to as the “Receiving Party”) from the other party (hereinafter referred to as the “Disclosing Party”) or resulting from the Parties’ performance of this Agreement, regardless of the form or carrier of the aforesaid information and data, or whether the Disclosing Party has indicated that such information and data shall be kept confidential by oral, graphic, or written means at the time of disclosure.

8.2. Both you and Alibaba shall take appropriate measures to properly preserve the confidential information provided by the other Party. The degree of prudence of such measures shall not be lower than that used to protect its own confidential information. Both Parties can only use the confidential information for the purpose hereunder or purpose associated with this Agreement.

8.3. Both parties shall guarantee that the confidential information shall only be disclosed to directors or employees involved in this business, and shall strictly restrict the staff with access to the above confidential information, so as to comply with the confidentiality obligations set forth in this article.

8.4. The above limits in this article do not apply to the following situations:

8.4.1. The confidential information is already legally owned by the Receiving Party at the time of or prior to the signing of this Agreement.

8.4.2. The confidential information has been disclosed to the public or can be obtained from the public domain.

8.4.3. The confidential information is obtained by the recipient from a third party having no confidentiality or non-disclosure obligations.

8.4.4. The confidential information has been disclosed or can be obtained from the public domain on the premise that the contractual obligations hereunder are not violated.

8.4.5. The confidential information is developed independently by the recipient or its associated or affiliated companies without any benefit from the discloser or its associated or affiliated companies.

8.4.6. The Receiving Party discloses the confidential information (based on oral questions, inquiries, requests for information or documents, subpoenas, civil or criminal investigations, or other procedures) in response to requests by the court or other legal or administrative authorities.

8.4.7. When the Receiving Party applies to the administrative department, industry association, or other institutions for a certain business qualification, obtains a certain certification, or abides by the national and industrial standards/certifications, the Receiving Party shall submit materials or disclose information required by explanations to the above-mentioned institutions in accordance with the other Party’s situation. In such cases, the Receiving Party shall, if necessary, abide by the minimum disclosure principle and require the institution obtaining the confidential information as a result to keep confidential such confidential information under standards not lower than those under this Agreement.

8.5. You and Alibaba Cloud shall make the greatest effort to protect the above confidential information from disclosure. If any of the aforesaid confidential information is disclosed, the parties shall cooperate to take all reasonable measures to avoid or mitigate the consequences of damage. If any loss is sustained by either Party as a result, the other Party shall compensate for direct economic losses arising therefrom.

9. Subscription, termination, and change of service

9.1. Prepaid services:

9.1.1. After you pay the service charge, you are deemed to have subscribed to the service, and then you can use the service after receiving the key and password sent by Alibaba Cloud for logon and service use. The service period starts from the time of subscription rather than the time when you obtain the key and password for logon and service use.

9.1.2. For a service that is sold by a fixed period, such as by year or by month, the service period ends at the time when the subscription period expires; for a service that is sold in the form of a resource package, the service period ends at the time when the service period of the resource package you ordered expires or when the services in the resource package are used up (whichever occurs earlier).

9.1.3. You shall use up the services in the resource package within the service period. If the service period of the resource package expires, the services that you have ordered but not used up will be voided, and Alibaba Cloud will not provide other alternative or supplementary services.

9.1.4. Your use of the services will consume the ordered resource package in priority, unless otherwise stipulated by law or agreed by the Parties. If the services in the resource package are used up or the service period expires, and you continue to use a service without subscribing to the resource package, Alibaba Cloud deems that you are using the service (if any) in postpaid mode and will continue to calculate the bill and deduct the service charge based on the billing results.

9.2. Postpaid services:• Unless otherwise agreed or if you have other payables not settled, you can use Alibaba Cloud services once you subscribe to the services; you shall ensure that your account has sufficient balance so as to continue to use the services until the circumstances for termination as stipulated by law or as set forth in these Service Terms occur.

9.3. The service period shall terminate in advance if any of the following circumstances occurs:

9.3.1. The Parties have agreed to terminate the service period in advance.

9.3.2. If you seriously violate this Agreement (including, your serious violation of the provisions of applicable laws and regulations or your serious violation of any of the commitments under this Agreement), Alibaba Cloud is entitled to terminate the service in advance until all your data is cleared.

9.3.3. You understand and fully recognize that although Alibaba Cloud has established (and will continue to improve according to technological developments) necessary technical measures to prevent matters or acts (collectively referred to as “Such Acts”) that endanger cyber security including computer viruses, network intrusion and attack damage (including DDoS), Alibaba Cloud may decide to suspend or terminate the service, given the limitations and relativity of cyber security technologies and the unpredictability of such acts, if your website suffers such acts and thereby causes damage to Alibaba Cloud or other networks or servers of Alibaba Cloud (including local, foreign, and international networks and servers), or affects a smooth connection between Alibaba Cloud and the Internet or Alibaba Cloud and specific networks and servers, and smooth connection within Alibaba Cloud. If the service is terminated, the service charge shall be calculated based on the number of months in which the service is actually provided (if the period is less than one month, the service charge shall be calculated by the number of days), and the remaining amount (if any) will be refunded.

9.3.4. Alibaba Cloud may terminate this Agreement by making an announcement on Alibaba Cloud Website or sending an internal notice or written notice to you 30 days in advance; at that time, Alibaba Cloud shall refund the amount that you have paid in advance but not consumed to your Alibaba Cloud account.

9.4. You understand and acknowledge that Alibaba Cloud does not guarantee the permanent provision of certain services and is entitled to change the forms, specifications, and other aspects (for example, the price of the service and the billing mode) of services provided due to technical upgrades, service system upgrades, or adjustments to business strategies or cooperation with major changes in national technical or regulatory policies. Before terminating such service or making such changes, Alibaba Cloud will make the greatest effort to notify you in advance through one or more of the notice methods such as website announcement, in-station letter, email, or SMS.

10. Liability for breach of contract

10.1. If you violate any content of the commitment, warranty clause, service use rules, or obligations in this Agreement, or Alibaba Cloud believes, based on its judgment, that your use is abnormal, Alibaba Cloud is entitled to unilaterally take one or more of the following measures based on the severity of the circumstance and its independent judgment: (1) Restrict or suspend the use of the service. (2) Terminate the provision of the service and terminate this Agreement. (3) Prosecute you for legal liability. (4) Other treatment measures that Alibaba Cloud deems appropriate. Where Alibaba Cloud takes measures such as suspending or terminating the service in accordance with the foregoing provisions, thereby resulting in losses to users, you shall be liable.

10.2. If you violate the relevant provisions of applicable laws and regulations or this Agreement and relevant rules, thereby resulting in any loss to Alibaba Cloud, a claim made by other users or any third party, or a penalty imposed by any administrative department, you shall make full compensation for actual losses sustained by Alibaba Cloud, other users, or relevant third parties, including reasonable attorney’s fees.

10.3. You understand and agree that, in view of the specific nature of computers and the Internet, the following circumstances do not fall under Alibaba Cloud’s default:

10.3.1. Alibaba Cloud needs to interrupt the service for a short period of time during system and server configuration, maintenance, and upgrade.

10.3.2. Your website access speed is decreased due to channel blocking on the Internet.

10.4. If you are unable to normally use the service for 72 consecutive hours for reasons attributable to Alibaba Cloud, you may terminate acceptance of the service, unless it is caused by reasons beyond Alibaba Cloud’s control.

10.5. Under no circumstances shall Alibaba Cloud be liable for any indirect, consequential, punitive, contingent, or special damages resulting from the use of Alibaba Cloud’s services, including your profit loss, for the use of Alibaba Cloud’s services (especially if you have been informed in advance of the possibility of such damage).

To the extent permitted by law, Alibaba Cloud’s liability for damages under this Agreement shall not exceed the sum of the service charges paid for such service for the past 12 months.

11.Notification

11.1. When you use Alibaba Cloud services, you shall provide Alibaba Cloud with true and effective contact methods (including your email address, contact telephone number, and contact address). If your contact methods change, you are obligated to update relevant information in a timely manner and ensure that you can be contacted at any time. Your member account (including the sub-account) to receive in-station letters and system messages is also treated as your effective contact method.

11.2. Alibaba Cloud will send various notices to one or some of your above contact methods. The content of such notices may have a significant beneficial or adverse impact on your rights and obligations, so pay attention to them in a timely manner.

11.3. When Alibaba Cloud sends you a notice by means of the above contact methods in which the written notice is sent in a electronic manner, including announcements, sends you a text message to the contact telephone number that you provide, sends an email to your email address, or sends a system message and in-station letter information to your account, they shall be deemed to have been served upon successful transmission; when Alibaba Cloud sends a written notice through a paper-based carrier, such written notice shall be deemed to have been served on the fifth calendar day after delivery to the contact address provided.

11.4. You shall ensure that the contact methods you provide are accurate, valid, and updated in a real-time manner. If the contact methods you have provided are inaccurate, or you fail to notify Alibaba Cloud of the changed contact methods, thereby resulting in that legal instruments cannot be served or served in a timely manner, you will be liable for the legal consequences arising therefrom.

12. Force majeure

12.1. If an event of force majeure or other accident makes the performance of this Agreement impossible, unnecessary or meaningless, the Party suffering such event of force majeure or accident is not liable.

12.2. Force majeure or accident means that there are objective events that are unforeseeable, insurmountable, and unavoidable and have a significant impact on either or both Parties, including natural disasters such as floods, earthquakes, plague epidemics, and social events such as war, turmoil, and government actions, telecommunications backbone line interruptions, hackers, network congestion, technical adjustments in the telecommunications sector, and government regulation.

13. Governing laws and dispute resolution

13.1. Conclusion, effectiveness, interpretation, amendment, supplement, termination, enforcement of this Agreement, and dispute resolution hereunder shall be governed by the laws of the People’s Republic of China. If applicable laws have no relevant provisions, reference is made to commercial practices and/or industry practices.

13.2. Alibaba Cloud will negotiate with you to resolve the disputes arising from your use of and in connection with Alibaba Cloud services. If the negotiation efforts fail, either Party is entitled to file a lawsuit in Xihu District People’s Court of Hangzhou.

14. Supplementary provisions

14.1. Annexes to this Agreement as well as service descriptions and price descriptions by Alibaba Cloud on the relevant pages of Alibaba Cloud Website and the order pages that you confirm (including special terms, service descriptions, and operating documents for the product) constitute an integral part of this Agreement. If there is any inconsistency, the following documents shall apply in the following order:

(1) Service description, price description, and other order pages

(2) Special terms and the annexes

(3) General Terms of this Agreement

14.2. If there are changes in the content of this Agreement, Alibaba Cloud shall notify you of the changed content through an appropriate page announcement on the Alibaba Cloud Website 30 days in advance. If you continue to use Alibaba Cloud services, you are deemed to have accepted the relevant changes that Alibaba Cloud has made.

14.3. Alibaba Cloud reserves the right to transfer all or part of its rights and obligations hereunder to Alibaba Cloud’s affiliates with prior notice.

14.4. If Alibaba Cloud waives the rights set forth in this Agreement to pursue your negligence or default, Alibaba Cloud shall not be deemed to have waived relevant rights to pursue your other or future similar negligence or default.

14.5. If any provision of this Agreement is deemed to be annulled, invalid, or unenforceable, such provision shall be deemed to be severable and shall not affect the validity and enforceability of the remaining provisions of this Agreement.

14.6. The provisions hereof regarding warranty, confidentiality, intellectual property rights, governing laws, and dispute resolution survive the termination of this Agreement.Special terms of service

1. Log Service

1.1. As of the first late payment, you may continue using Alibaba Cloud Log Service for 24 hours. If you still do not successfully credit your account and clear the overdue payables after 24 hours, Alibaba Cloud will suspend the service and freeze your Log Service, but still stores your data and continues billing.

1.2. When the time limit of 7 days as of the day when Alibaba Cloud suspends the service (from the time when the service is suspended to the same time on the 7th day) expires, and you still do not successfully credit your account and clear the overdue payables, Alibaba Cloud will terminate these terms of service and conditions and stop providing the service to you. Meanwhile, all your data stored in Alibaba Cloud will be deleted and cleared and be permanently unrecoverable.

2. OpenSearch

2.1. If you successfully credit your account and clear the overdue payables within 24 hours since the late payment, your service will not be suspended.

2.2. If you are in arrears for more than 24 hours, Alibaba Cloud will suspend some features of your OpenSearch service. You can view and delete applications, but cannot suspend applications, upload files, search tests, and reconstruct indexes. Your instances are retained, and the instance lease fee is still calculated. You need to successfully credit your account and clear the overdue payables so that you can restore all the features of OpenSearch.

2.3. When the time limit of 30 natural days as of the late payment expires, and you still do not successfully credit your account and clear the overdue payables, Alibaba Cloud will terminate these terms of service and conditions and stop providing the service to you. Meanwhile, all your data stored in Alibaba Cloud will be deleted and cleared and be permanently unrecoverable.

3. Resource Orchestration Service (ROS)

3.1 Although Alibaba Cloud ROS is free of charge at present, by obtaining and using Alibaba Cloud’s other paid services (such as pay-as-you-go ECS) through ROS, unless otherwise agreed upon by both parties, you shall pay a service fee to Alibaba Cloud at a rate then in effect (including the service fees incurred prior to the release of part of the successfully orchestrated services, when all the services must be released as a result of failed overall service orchestration), and agree to be bound by its terms of service.

4. Performance Testing Service (PTS)

4.1. For PTS in Subscription mode, the service will terminate when the service period expires or your purchased quota is used up. For PTS in pay-as-you-go mode, you should credit your Alibaba Cloud account promptly for continuous service use. If overdue payables are incurred, you can continue using the service for 1 hour as of the first late payment. If you still do not successfully credit your account and clear the overdue payables, Alibaba Cloud will stop providing the service to you.

4.2. You understand and acknowledge that the test results are the data recorded by PTS after testing based on your instructions (including the test method and test object). Alibaba Cloud is not responsible for your work done based on that data and the results of your work.

4.3. You understand and acknowledge that the server where your selected test target is located may operate abnormally due to the stress applied by PTS. Alibaba Cloud is not responsible for such results and prompts you to select the target server carefully.

4.4. You guarantee that you are authorized to conduct performance testing on the selected server.

5. Message Queue

5.1. For Message Queue in subscription mode, if you do not make the payment within three days after confirming the order, the order will be invalidated.

5.2. When your subscribed instance (an MQ enterprise platinum edition or an LMQ) expires, Alibaba Cloud will stop providing the service to you. If the instance fails to be renewed within 168 hours, it will be automatically released, and the released instance and data are unrecoverable.

5.3. For Message Queue in post-paid mode, when your account balance is insufficient to pay the bill amount and you are in arrears for more than 72 hours, Alibaba Cloud will stop providing the service to you, and you cannot access Message Queue through the console or APIs. Unprocessed message data will be automatically released, and the released data is unrecoverable.

5.4. The preceding terms are also applicable to Message Queue for Kafka

6. Global Transaction Service (GTS)

6.1. For GTS in subscription mode, Alibaba Cloud will provide the service to you after you pay the service fee. If you do not make the payment within three days after confirming the order, the order will be invalidated.

6.2. GTS in subscription mode will terminate upon expiration. Renew the service if you continue to use the service. Alibaba Cloud will make reasonable efforts to remind you of renewal. If you do not renew the service, the service will terminate upon expiration and the service group configuration will be released when the time limit of seven days expires.

7. StreamCompute

When a project in Subscription mode or with a fixed service duration expires:

7.1. If you continue to use StreamCompute, renew the service promptly.

7.2. If you do not renew the service upon expiration, Alibaba Cloud will suspend your operation permission on the project, but retain the project and still store your data for seven days (from the time when your operation permission is suspended to the same time on the 7th day). If you still do not renew the service when the time limit of seven days expires, Alibaba Cloud will release your project and delete related data.

8. CloudMonitor

8.1. For CloudMonitor in Subscription mode or with a fixed service duration, the service will terminate upon expiration. Renew the service promptly if you continue to use it. If you fail to renew the service upon expiration, Alibaba Cloud will suspend your operation permission on the service and delete your custom monitoring time series when the time limit of seven days (from the time when the service is suspended to the same time on the 7th day) expires.

8.2. Alibaba Cloud informs you of your usage of various services of Alibaba Cloud (for example, memory usage of your applications). When you activate CloudMonitor for free, you agree that CloudMonitor displays your service usage on the service interface of CloudMonitor.

8.3. You understand and confirm that though CloudMonitor provides you with monitoring data, Alibaba Cloud is not responsible for storing your monitoring data. Alibaba Cloud displays the latest batch of monitoring data based on established data expiration rules. For the monitoring data of specific results, you can set your own expiration rules, but may need to pay extra fees. See the instructions on the Alibaba Cloud website and the page that you confirm during operation. You should transfer or back up the monitoring report data before it expires.

9. Data Integration

9.1. For Data Integration, Alibaba Cloud charges you the fee from the past hour on an hourly basis. If overdue payables are incurred, you can continue using the service for 24 hours. If you do not renew the service and clear the overdue payables after 24 hours, Alibaba Cloud will stop providing the service to you, and ongoing data integration tasks will be terminated.

9.2. You must ensure that you are authorized to operate the data of Alibaba Cloud Data Integration.

9.3. You understand and confirm that Alibaba Cloud Data Integration does not provide you with data storage space. You are responsible for data storage and backup.

10. Natural Language Processing (NLP)

10.1. For NLP in Subscription mode, you should use up your purchased service quota within the service duration. The service will terminate upon expiration, even though your purchased service quota is not used up.

10.2. Alibaba Cloud has the duty of diligence to provide you with services. However, due to factors such as existing technical conditions, the technical services and/or deliverables provided by Alibaba Cloud are only the technical recommendations given in a specific situation. You are still responsible for your decision to adopt or not to adopt Alibaba Cloud’s technical recommendations, as well as the work process and results if the technical recommendations are adopted.

11.Alibaba Cloud DNS PrivateZone

11.1. For Alibaba Cloud DNS PrivateZone in pay-as-you-go mode, you should credit your account promptly for continuous service use. If overdue payables are incurred, you can continue using the service for 24 hours as of the first late payment. When the time limit of 24 hours expires and your account balance is still insufficient to clear the overdue payables, Alibaba Cloud will stop providing the service to you but retain your configuration. If your account balance is still insufficient to clear the overdue payables within the 7 days as of the first late payment, Alibaba Cloud will terminate services and clear your configuration when the time limit of 7 days (from the time when the service is suspended to the same time on the 7th day) expires.

11.2. When using Alibaba Cloud DNS PrivateZone, you shall also observe the corresponding limits. Otherwise, Alibaba Cloud has the right to suspend or terminate the service.

12. Graphic Workstation Service

12.1. For Graphic Workstation Service in Subscription mode, the service will terminate when the service period expires or your purchased quota is used up. If you do not renew the service, Alibaba Cloud will release your instance and clear your data when the time limit of 7 days (168 hours) expires. If you continue to use Graphic Workstation Service, renew the service within seven days after expiration.

12.2. For Graphic Workstation Service in pay-as-you-go mode, you should credit your Alibaba Cloud account promptly for continuous service use. If overdue payables are incurred, you can continue using the service for 1 hour as of the first late payment. If you still do not successfully credit your account and clear the overdue payables, Alibaba Cloud will stop providing the service to you. Alibaba Cloud will release your instance and clear your data when the time limit of 7 days (168 hours) expires.

12.3. Alibaba Cloud provides Graphic Workstation Service to you in accordance with the Graphic Workstation Service Level Agreement.

13. Key Management Service (KMS)

13.1. For KMS in pay-as-you-go mode, you should credit your Alibaba Cloud account promptly for continuous service use. If overdue payables are incurred, you cannot use the new functions of KMS as of the first late payment, but can still use your created services for 7 days (168 hours). If you still do not successfully credit your account and clear the overdue payables when the time limit of 7 days expires, Alibaba Cloud will stop providing the service to you.

13.2. Although Alibaba Cloud has established corresponding security mechanisms and measures, given the unpredictability and complexity of Internet services and the importance of KMS, Alibaba Cloud reminds you that if you no longer use KMS, log on to the console to delete key information promptly.

14. ApsaraVideo Live

14.1. For ApsaraVideo Live and ApsaraVideo VoD in Subscription mode and sold in the form of resource packages, the services will terminate upon expiration or when the quota of your purchased resource package is used up.

14.2. For ApsaraVideo Live in pay-as-you-go mode, you should credit your Alibaba Cloud account promptly for continuous service use. If overdue payables are incurred, Alibaba Cloud has the right to stop your service immediately as of the first late payment. Alibaba Cloud will continue to provide the service to you after you successfully credit your account and clear the overdue payables.

15. Machine Translation

15.1. For Machine Translation in Subscription mode, you should use up your purchased service quota within the service duration. The service will terminate upon expiration, even though your purchased service quota is not used up.

15.2. Alibaba Cloud Machine Translation does not guarantee the accuracy and legitimacy of translation results, and does not assume responsibility for any errors, missing content, or improper expressions in the translation of this website. Users shall assume responsibility for risks arising from their use of translation content.

15.3. Alibaba Cloud Machine Translation generates corresponding translation results based on user-typed or -transmitted content. This does not mean that Alibaba Cloud Machine Translation or Alibaba recognizes the user-typed or -transmitted content or the translation results. Alibaba Cloud Machine Translation shall not assume any legal liability for the infringement or other illegal behavior arising from user-typed or -transmitted content or translation results, as well as all the losses resulting from disputes, lawsuits, and arbitration.
