Account Center:User terms for activating the master account feature

Before formally submitting an application for activating the Master Account feature through your current logged-in Alibaba Cloud Account ("Current Account"), please read these User Terms for Activating the Master Account Feature (these "Terms") carefully. These Terms highlight important clauses that may significantly affect your rights or obligations in bold or underlined text. If you have questions about the terms, please consult Alibaba Cloud. If you disagree or are unable to clearly understand the provisions of these Terms, please do not proceed with the application.

By online confirming and accepting the link to and content on this webpage, you expressly agree that an agreement is reached between you and Alibaba Cloud, and you agree to be bound by all these Terms. From the effective date stipulated herein, these Terms become legally binding on both you and Alibaba Cloud.

Important Notice: Once the Master Account feature is activated, the Current Account will serve as your only authorized Alibaba Cloud Account to exercise the highest management permissions over all your existing and future accounts on the Alibaba Cloud International Website. You shall bear full responsibility for all actions and consequences performed through this Current Account.

Please ensure that you have selected the correct account, assigned reliable administrators for the Current Account, and established appropriate management mechanisms and risk control measures before proceeding with the next steps.

I. Parties, Scope, and Effectiveness

1.1 One party to these Terms is you, a registered Alibaba Cloud Member who has signed up or will sign up for multiple Alibaba Cloud Accounts ("you" or "Customer"), while the other party is the Alibaba Cloud contracting entity identified in line with the recital part of the Alibaba Cloud International Website Membership Agreement ("Alibaba Cloud"), being the operator of the Alibaba Cloud International Website.

1.2 The purpose of these Terms is to enable centralized management of data, information, orders, contracts, funds, invoices, billing, discounts, and other matters across your multiple accounts on Alibaba Cloud by designating one account (i.e., the Current Account) as the Master Account. This account will manage the above-mentioned aspects of all your accounts on Alibaba Cloud, and both parties agree to these Terms accordingly.

1.3 Since these Terms involve management of relevant Alibaba Cloud Accounts, it is governed by the overarching terms such as the Alibaba Cloud International Website Membership Agreement, Alibaba Cloud International Website Terms of Use, etc.

II. Definitions and Interpretations

2.1 "Alibaba Cloud International Website": means the website comprising webpages mainly using the domain name alibabacloud.com.

2.2 "Alibaba Cloud Member": means individuals, legal entities, or organizations that voluntarily registered and obtained an Alibaba Cloud Account.

2.3 "Alibaba Cloud Account": means a user account with a unique digital ID assigned by Alibaba Cloud to an Alibaba Cloud Member after the latter's voluntary registration.

2.4 "Account Holder": means the Alibaba Cloud Member who registers, keeps, and uses the Alibaba Cloud Account. For a business account, the Account Holder is the legal entity who has been verified as the holder by Alibaba Cloud through the account verification process.

2.5 "Same Member": means an Alibaba Cloud Member who has registered multiple Alibaba Cloud Accounts verified under the name of the same Account Holder.

2.6 "Master Account" or "MA Account": means a designated and verified Alibaba Cloud Account, under the name of your enterprise, that holds the highest management permissions over all Alibaba Cloud Accounts your enterprise has on Alibaba Cloud. Only one Master Account can be designated per enterprise entity.

2.7 "Non-master Account" or "Ordinary Account": means all other Alibaba Cloud Accounts under the name of the Same Member, which have not been designated as the Master Account, after a Master Account is designated.

2.8 "Cross-account Management Power": By default, the Master Account has full authority over all management permissions on that Master Account and all Ordinary Accounts of the Same Member. Authorized Ordinary Accounts may be granted certain management permissions of other Ordinary Accounts, within the scope designated through the Master Account.

III. Activation and Use of the Master Account

3.1 Alibaba Cloud only accepts Master Account applications which meets all of the following conditions:

3.1.1 You have registered and verified your Alibaba Cloud Accounts and are in need of centralized management;

3.1.2 You have not violated any law or regulation or infringed upon the rights and interests of Alibaba Cloud and/or third parties;

3.1.3 All your Alibaba Cloud Accounts have not been suspended or restricted in certain functionalities due to illegal or infringing activities or breach of contract, etc., or other situations where Alibaba Cloud determines that it is not appropriate to activate the Master Account feature;

3.1.4 You represent and undertake that your application submitted to Alibaba Cloud for activating the Master Account feature has obtained sufficient internal approval and authorization, and you shall bear all corresponding risks and responsibilities for the activation and all consequences related thereto; and

3.1.5 Alibaba Cloud, after careful judgment, believes that there are no other risks that may damage the right or interest of Alibaba Cloud, third parties or the public.

3.2 To activate the Master Account feature, you shall follow the below procedures:

3.2.1 The Customer logs in to the Alibaba Cloud Account for which the Master Account feature is to be activated (i.e., the Current Account).

3.2.2 After carefully reading and accepting all the provisions of these Terms, submit the activation application.

3.2.3 After Alibaba Cloud's review and approval, the Alibaba Cloud Account through which the application is submitted becomes the Customer's only Master Account on the Alibaba Cloud International Website.

3.3 The Customer understands and confirms that after the Current Account is activated as the Master Account, in addition to having full management permissions for this Current Account, the Customer also has the following permissions on the Alibaba Cloud International Website using the Master Account (subject to the content of the relevant webpages of the Alibaba Cloud International Website):

3.3.1 Enterprise information management (e.g., enterprise address and contact information management);

3.3.2 Permission management (e.g., role management, authorization/revocation, etc.);

3.3.3 Organization management (e.g., organization directory management, account and organization directory relationship management, etc.);

3.3.4 Account management (e.g., create account, freeze account, unfreeze account, delete account, account authorization, modifying account information, account verification information change, etc.);

3.3.5 Expenses and Costs (e.g., orders management, bills management, invoices management, cost analysis, split bill, contracts management, etc.); and

3.3.6 Grant one or more of the above permissions to other administrator accounts that have established an associated relationship with the account after being invited by the Account Holder.

3.4 The Customer further understands and confirms that:

3.4.1 The Same Member can only have one account on the Alibaba Cloud International Website to have the Master Account feature activated;

3.4.2 Alibaba Cloud may, on the premise of reaching an agreement with the Customer, restrict all or part of the permissions of the Master Account of the Customer within a certain period of time, but the scope of such restriction shall not include the Master Account's permission over that Master Account itself;

3.4.3 The Master Account has the highest permissions, which means that when the Master Account and an Ordinary Account of the Same Member exercise the same management permission under that Ordinary Account, and a conflict occurs, the operation under the Master Account will prevail;

3.4.4 The Master Account feature cannot be transferred between accounts, which means, only the account designated by the Customer when applying for the activation of the feature can exercise the Master Account permissions; and

3.4.5 The Master Account feature is not able to be turned off by the Customer at this time.

IV. Rights and Obligations

4.1 The Customer hereby promises and guarantees that:

4.1.1 The contents filled in and checked by the Customer during the process of activating the Master Account feature or granting relevant permissions are true, accurate and valid, and there is nothing that has misled or may mislead Alibaba Cloud to make an incorrect judgment;

4.1.2 The Customer does not and will not use the Master Account feature to violate any laws, regulations, administrative rules or public policies, or infringe on the rights of any third party;

4.1.3 The Customer shall solely be responsible for the actions and consequences of using the Master Account feature, and no obligations shall be imposed against Alibaba Cloud for its review or acceptance of the Customer's application for the Master Account feature;

4.1.4 The Customer's activation and use of the Master Account feature will not put Alibaba Cloud in breach of contract or violation against law. Alibaba Cloud shall not be liable for liabilities other than what are clearly prescribed by law, for any disputes, controversies, losses, tort (including negligence), breach of contract, etc. arising from such activation or use; and

4.1.5 The Customer further promises that if any losses or damages is incurred by Alibaba Cloud due to the breach of any above terms, the Customer shall fully compensate and indemnify Alibaba Cloud for such losses or damages.

4.2 The Customer understands and agrees that:

4.2.1 Alibaba Cloud has the right to require the Customer to provide written documents or other proof at any time to prove that the Customer or relevant Alibaba Cloud Account has the approvals and authorizations to activate the Master Account feature;

4.2.2 Alibaba Cloud has the right to record and retain relevant information such as the Account Holder, authorization behavior, transaction records, contract information, etc. after the Customer activates the Master Account feature, to comply with applicable laws and regulations and/or to safeguard its own legitimate rights and interests; and

4.2.3 The Customer understands and agrees that after activating the Master Account feature, the relative independence between all Alibaba Cloud Accounts of the Same Member on the Alibaba Cloud International Website has been invalidated, and Alibaba Cloud has the right to require the Customer to bear responsibility to Alibaba Cloud through any or all of its accounts for the relevant transactions and consequences between the Customer and Alibaba Cloud.

4.3 The Customer understands and agrees that if Alibaba Cloud discovers any of the following circumstances, Alibaba Cloud has the right to suspend or restrict all or part of the permissions of the Master Account, up to disabling the Master Account feature for the Customer:

4.3.1 The Customer is under investigation by any competent regulatory or judicial authorities, or is in litigation, arbitration or other legal proceedings, under which Alibaba Cloud is required by the relevant authorities or judicial bodies to cooperate in restricting the Customer's relevant account permissions; or

4.3.2 Alibaba Cloud receives complaints or reports from third parties, or discovers through relevant channels that the Customer has or may violate laws or these Terms by using the Master Account feature to damage or threaten the interests of the state, the public, or to damage or threaten the rights or interests of Alibaba Cloud, Alibaba group members or other third parties.

V. Miscellaneous

5.1 The Customer understands and accepts that the conclusion, execution, interpretation and dispute resolution of these Terms shall be governed by the laws of Singapore without regard to its conflict of law provisions. If there is any inconsistency or conflict with the law, the inconsistent or conflicting clauses shall not be legally binding.

5.2 In the event of any dispute over the content of these Terms or its performance, the parties shall conduct amicable negotiations. If the negotiations fail, either party may submit to the exclusive jurisdiction of the courts of Singapore.

5.3 If these Terms is inconsistent or conflicting with the relevant terms previously entered into by both parties, or the relevant statements of Alibaba Cloud, the provisions of these Terms shall prevail.

You hereby confirm that you have fully read and understood these User Terms for Activating the Master Account Feature and voluntarily accept all the provisions above.
